Beate Uhse takes over Playhouse Group

Beate Uhse AG is taking over the Playhouse Group, based in Tiel, Netherlands. Playhouse is one of Europe’s leading manufacturers and B2B providers of erotic films, sex toys, lingerie collections and wellness products, which it markets under proprietary brands and licenses.

Playhouse generated sales of around Euro 13 million last year. This acquisition is of especially great strategic significance for the Beate Uhse Group, as it opens up new marketing potential, especially using forward-looking new media, and will enable the two companies to exploit substantial synergy effects.

The purchase price for the acquisition of all shares consists of a
single-digit million euro cash component and 7,090,000 shares in Beate Uhse
AG, which are to be issued to the former shareholders in the Playhouse
Group at a value of Euro 1.00 per share and with a lockup period of five
years. For this, a capital increase will be undertaken from authorised
capital to the exclusion of subscription rights.
